Shopthru: Terms and Conditions for Content Creators

SHOPTHRU LIMITED (“Shopthru”) is a company registered under company number 10295802, with its address at Severn House, Middle Street, Brighton, East Sussex, England, BN1 1AL

1. Overview of Shopthru

Shopthru operates an embedded commerce platform that enables publishers (“Publishers”) and content creators (“Creators”) to promote products from participating advertisers (“Advertisers”) using hosted storefronts and embedded checkout tools.

Creators earn commissions on qualifying sales completed through the Shopthru platform. These Terms & Conditions (“Terms”) apply to all creators who register to use the Shopthru platform. By submitting an application to join Shopthru, you confirm that you have read, understood, and agreed to these Terms

2. Your Responsibilities

By using Shopthru, you agree to:

  • Share links or storefronts in content that you own or have permission to use (e.g. your blog, newsletter, or social feed)
  • Only promote products in a fair, honest, and transparent way
  • Comply with applicable laws (including advertising disclosures, privacy, and intellectual property laws)
  • Never generate false, fraudulent, or self-made transactions
  • Never use Shopthru links in unsolicited emails or spam

We may ask you for basic information about your content, audience, or how you plan to use Shopthru. Please be accurate and transparent.

3. Commissions & Payouts

You earn a commission on successful sales made through your Shopthru links or storefronts. Each brand (Partner Program) sets its own commission terms, which you’ll see in your Shopthru dashboard.

We process payments once you reach a £25 threshold. If your account is closed with £5 or less remaining, we won’t process a payout. Shopthru may deduct fees where applicable or withhold commissions in cases of fraud or policy breaches.

4. Use of Your Content

We may refer to you as a Shopthru Creator and show your storefront or content as an example in our marketing, unless you tell us not to. You keep full rights to your content; we just want to celebrate your work and help others discover you.

5. Suspension & Termination

We can suspend or close your account immediately if:

  • You break these Terms
  • We detect fraud or misuse
  • You’re inactive for an extended period

You can close your account any time. We’ll pay any owed commission in line with Section 3.

6. Data & Privacy

We only collect the data we need to operate the platform – like your account info, link activity, and payout details. We’re a data controller under UK GDPR. See our [Privacy Policy] and [Data Processing Addendum] for more info.

7. Legal Bits

These Terms are governed by English law. If we ever need to resolve a legal issue, it will be handled in the courts of England and Wales.

SCHEDULE A – DATA PROCESSING ADDENDUM (DPA)

This Data Processing Addendum (“DPA”) forms part of the Shopthru Creator Terms & Conditions (“Agreement”) between Shopthru Ltd and the Creator. By accepting the Agreement, the Publisher also agrees to the terms of this DPA.

1. Definitions

1.1 “Personal Data,” “Processing,” “Controller,” and “Processor” have the meanings set out in the UK General Data Protection Regulation (UK GDPR).

1.2 “Data Protection Laws” means all applicable laws and regulations relating to the processing of Personal Data, including the UK GDPR and Data Protection Act 2018.

2. Roles and Scope

2.1 Shopthru acts as an independent Controller of any Personal Data it collects in relation to Creator accounts or platform usage.

2.2 This DPA does not apply to end-customer data, as Shopthru does not process such data on behalf of the Creator

3. Purpose of Processing

Shopthru may process Publisher-related Personal Data for the following purposes:

  • Setting up and managing accounts
  • Enabling access to the Shopthru platform
  • Tracking transactions and calculating Commissions
  • Monitoring platform usage and preventing fraud
  • Meeting legal and regulatory obligations

4. Data Security

Shopthru shall implement appropriate technical and organisational measures to protect Personal Data against unauthorised access, loss, or damage.

5. Data Subject Rights

Shopthru will comply with its obligations under applicable Data Protection Laws in respect of data subject access requests or similar rights.

6. International Transfers

Any transfers of Personal Data outside the UK or EEA shall only be made:

  • To countries with an adequacy decision; or
  • With appropriate safeguards in place (e.g. Standard Contractual Clauses).

7. Retention and Deletion

Personal Data will be retained only for as long as necessary to fulfil the above purposes or as required by law.

This DPA is governed by and construed in accordance with the laws of England and Wales.
